By downloading, installing, or using the SeraCare application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you and SeraCare. We reserve the right to update these Terms at any time, and continued use of the App constitutes acceptance of any changes.

By using SeraCare, you represent and warrant that you meet all eligibility requirements and that you are authorized by your employer or institution to use care management software in your clinical role.
Subject to your compliance with these Terms, SeraCare grants you a limited, non-exclusive, non-transferable, revocable license to use the App on iOS devices that you own or control, solely for your personal professional use as a healthcare provider.

You agree to use SeraCare only in ways that are lawful, ethical, and consistent with your professional obligations as a healthcare provider. Specifically, you agree not to:
SeraCare is a workflow organization tool only. It is not a medical device, clinical decision support system, or electronic health record (EHR). Nothing in the App constitutes medical advice, clinical recommendations, or a substitute for professional clinical judgment.
All clinical decisions must be made by qualified healthcare professionals based on their independent assessment of each patient's condition. SeraCare accepts no responsibility for any clinical outcome arising from information entered into or displayed by the App.
You are solely responsible for:
All patient data you enter into SeraCare is stored exclusively on your device. SeraCare does not have access to this data and assumes no liability for its loss, corruption, or unauthorized access due to circumstances beyond our control.
If you are a HIPAA covered entity or a business associate of a covered entity, you are responsible for ensuring that your use of SeraCare complies with all applicable HIPAA regulations, including the Privacy Rule and Security Rule.
SeraCare's on-device architecture supports HIPAA-compliant workflows, but compliance ultimately depends on how you use the App. You must:
The SeraCare app, including its design, code, graphics, and content, is owned by SeraCare and protected by copyright, trademark, and other intellectual property laws. The SeraCare name, logo, and app icon are trademarks of SeraCare.
Nothing in these Terms grants you any rights in or to SeraCare's intellectual property other than the limited license described in Section 3.
The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, SeraCare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or harm arising from your use of the App or any patient care decisions made in connection with it.
Our total liability to you for any claims arising out of or relating to these Terms or the App shall not exceed the amount you paid for the App in the twelve months preceding the claim.
You may stop using SeraCare at any time by deleting the App from your device. All locally stored data will be permanently deleted upon app removal.
We reserve the right to terminate or suspend your access to the App at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law.
